1. Agreement to Terms

By engaging Jaden Mayhue ("Service Provider," "we," "us") for web development or related services, you ("Client," "you") agree to be bound by these Terms & Conditions.

2. Services

We provide web development, software development, website maintenance, and technical consulting services as described in individual project proposals. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or agreement.

3. Payment Terms

  • Deposits: A deposit of 50% of the total project cost is required before work begins.
  • Final Payment: The remaining balance is due upon project completion, prior to final delivery.
  • Hourly Work: For hourly services, invoices are issued weekly or monthly and are due within 14 days.
  • Late Payments: Overdue invoices may be subject to a late fee of 1.5% per month.

4. Project Timeline

Estimated timelines are provided in good faith but are not guaranteed. Delays may occur due to:

  • Scope changes requested by the Client
  • Delays in receiving required content, feedback, or approvals from the Client
  • Technical complications beyond our reasonable control

5. Client Responsibilities

The Client agrees to:

  • Provide all necessary content, images, and materials in a timely manner
  • Respond to requests for feedback or approval within a reasonable timeframe
  • Ensure all provided content does not infringe on third-party rights
  • Provide accurate information for any required accounts or services

6. Intellectual Property

  • Upon full payment, the Client receives ownership of the custom work created specifically for their project.
  • We retain the right to use third-party tools, libraries, and frameworks as part of the development process.
  • We reserve the right to display the completed work in our portfolio unless otherwise agreed in writing.

7. Revisions

Project proposals include a specified number of revision rounds. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

9. Warranty

We warrant that services will be performed in a professional manner. For web development projects, we provide a 30-day warranty period after launch to fix any bugs or issues with the delivered work at no additional charge.

10. Termination

Either party may terminate the agreement with written notice. In case of termination:

  • Client is responsible for payment of all work completed up to the termination date
  • Deposits are non-refundable (see Refund Policy for details)

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States.
